These Terms of Service ("Terms") govern your access to and use of nonprofitpilot.com (the "Site") and any services provided by NonprofitPilot ("we," "us," or "our"). By using the Site or our services, you agree to be bound by these Terms.

1. Acceptance of terms

By accessing or using the Site, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you do not agree to these Terms, do not use the Site.

2. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable federal, state, local, or international law.
  • Attempt to gain unauthorized access to any portion of the Site, our servers, or any connected systems.
  • Use the Site to transmit malware, spam, or other harmful material.
  • Reverse-engineer, scrape at scale, or otherwise extract bulk content from the Site without our prior written consent.
  • Impersonate any person or organization or misrepresent your affiliation with any person or organization.

3. Services

Specific service engagements with NonprofitPilot are governed by a separate written agreement (statement of work, master services agreement, or equivalent) executed between us and the client. These Terms govern only your use of the public Site; any conflict between these Terms and a signed services agreement is resolved in favor of the signed agreement with respect to the engagement covered by it.

4. Intellectual property

The Site, including its design, text, graphics, logos, and underlying source code, is owned by NonprofitPilot or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may view and use Site content for personal, non-commercial purposes. You may not reproduce, modify, distribute, or publicly display any part of the Site without our prior written permission.

Blog posts and other written content on the Site are licensed for non-commercial reading and citation with attribution. Republication in whole or in substantial part requires our written permission.

5. Third-party links and services

The Site may contain links to third-party websites or services that are not owned or controlled by us. We are not responsible for the content, policies, or practices of any third-party site. Your interactions with third-party sites are governed by the terms and policies of those sites.

6. Disclaimer of warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

7. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NONPROFITPILOT AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

8. Indemnification

You agree to defend, indemnify, and hold harmless NonprofitPilot from any claims, damages, costs, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Site.

9. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute arising from these Terms will be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

10. Changes to these Terms

We may revise these Terms at any time. The "Last updated" date at the top of this page reflects the most recent change. Continued use of the Site after a revision constitutes acceptance of the revised Terms. If a revision materially affects your rights, we will provide reasonable notice on this page.
